Vendor and scope<\/h2>\n  <p>The seller is LES MOTS DOUX, a limited liability company (EURL) with a capital of \u20ac100,000, whose registered office is located at 8 Grande Rue, 25390 Loray, France, registered with the Besan\u00e7on Trade and Companies Register under number 832 270 466, SIRET number 832 270 466 00044, intra-community VAT number FR79 832 270 466, operating under the trade name Groupe LMD (the &quot;Seller&quot;). Contact: hello@groupelmd.fr \u2013 +33 6 07 02 79 27.<\/p>\n  <p>These Terms and Conditions apply exclusively to business customers (the &quot;Customer&quot;) who purchase products for their business purposes, primarily for resale. They apply to orders placed on groupelmd.fr, as well as to orders accepted by quote, purchase order, email, or any other means agreed upon with the Seller.<\/p>\n  <p>Any special conditions agreed upon in writing between the parties shall prevail over any conflicting provisions of the General Terms and Conditions of Sale. The Customer&#039;s terms of purchase shall only be binding on the Seller if expressly accepted in writing.<\/p>\n  <h2>2. Business Account and Customer Information<\/h2>\n  <p>Access to the professional portal is subject to the creation and subsequent validation of the account by the Seller. Validation may be refused or withdrawn for a legitimate reason, including if the declared activity does not correspond to a professional resale activity, if the information is incomplete or inaccurate, in the event of a payment incident, or misuse of the portal.<\/p>\n  <p>The Customer guarantees the accuracy and updating of their legal, tax, billing, and delivery information. They protect their login credentials and remain responsible for orders placed through their account, unless prior notification of fraudulent access is received.<\/p>\n  <p>Unless otherwise agreed in writing, opening an account does not imply geographic exclusivity, annual targets, or volume commitments. Any commercial exclusivity agreement must specify in writing the brand concerned, the territory, its duration, and the conditions for its maintenance.<\/p>\n  <h2>3. Products<\/h2>\n  <p>The essential characteristics, references, materials, dimensions, packaging, and prices of the products are those presented on the portal at the time of ordering, subject to obvious errors. Photographs and examples are for illustrative purposes only and may show slight differences in color or appearance depending on the screen.<\/p>\n  <p>Some products are handcrafted or assembled and may incorporate natural materials, antique pieces, textiles, wood, or other elements with variations. Minor differences in color, patina, grain, texture, or positioning that do not alter the essential qualities of the product are not considered defects.<\/p>\n  <p>The Seller may modify a product, its packaging or its presentation, provided that its essential characteristics are preserved, or offer an equivalent product with the Client&#039;s agreement.<\/p>\n  <h2>4. Prices, discounts and resale prices<\/h2>\n  <p>Prices are shown in euros excluding VAT (&quot;HT&quot;), delivery charges, customs duties, import taxes, and other related fees. Applicable VAT and delivery charges are added according to the destination and current regulations.<\/p>\n  <p>The applicable price is the one displayed on the portal or stated in the written offer at the time the Seller accepts the order. The Seller may change its prices for future orders. Discounts, promotions, or negotiated terms are cumulative only if expressly stated.<\/p>\n  <p>No discount is given for early payment unless otherwise agreed in writing. The Customer is free to set their own resale prices; any public prices provided by the Seller are for guidance only.<\/p>\n  <h2>5. Minimum order quantities per brand<\/h2>\n  <p>Minimum orders are controlled by brand. Quantities ordered under different brands are never combined to reach a minimum threshold.<\/p>\n  <ul>\n    <li>First order: at least 10 items from the same main brand.<\/li>\n    <li>First order with one or two additional brands: at least 10 pieces for each of the other brands added.<\/li>\n    <li>Reorder: at least 10 pieces for each brand present in the order.<\/li>\n  <\/ul>\n  <p>The portal may prevent the validation of a shopping cart that does not comply with these rules. An exception is only valid if confirmed in writing by the Seller.<\/p>\n  <h2>6. Order and Contract Formation<\/h2>\n  <p>The Customer verifies the contents of their shopping cart, their contact details, addresses, VAT status, delivery method, and payment method before confirming. Electronic confirmation constitutes a firm offer to purchase and acceptance of the Terms and Conditions in effect on that date.<\/p>\n  <p>Automatic order receipt only confirms successful transmission. The sale becomes binding after verification and acceptance by the Seller, evidenced by a confirmation, a pro forma invoice, an invoice, or the order status being changed to &quot;accepted.&quot; For orders payable in advance, the Seller may make preparation or shipment contingent upon actual receipt of payment.<\/p>\n  <p>The Seller may refuse, suspend, or request modification of an order for a legitimate reason, including unavailability, a clearly incorrect price, an order threshold not met, an address not served, a payment issue, or a risk of fraud. The Seller will inform the Customer and, where applicable, refund any amounts corresponding to the products not delivered.<\/p>\n  <p>Any request for modification or cancellation after acceptance is subject to the Seller&#039;s written agreement and may be refused if preparation, personalization or shipping has begun.<\/p>\n  <h2>7. Customized products and special orders<\/h2>\n  <p>Requests for customization, special manufacturing, or dedicated series are subject to a quotation specifying the product, quantities, price, lead times, and technical constraints. Unless otherwise stated in the quotation, the minimum order for customization is 10 pieces.<\/p>\n  <p>The Client is responsible for the texts, visuals, names, symbols, and files they provide and guarantees that they possess all necessary rights. They approve the proof or layout before production. After this approval or the start of production, the order can no longer be canceled or returned, except in the case of a defect or non-conformity attributable to the Seller.<\/p>\n  <h2>8. Billing and payment<\/h2>\n  <p>The first order is payable in full. Subsequent orders may be subject to payment terms of 30 days from the due date indicated on the invoice, subject to the Seller&#039;s agreement and the maintenance of a satisfactory payment history.<\/p>\n  <p>Payment can be made by bank transfer, check, or credit card via a secure payment link, depending on the options offered. A pro forma invoice or invoice, and, if applicable, the payment link, will be sent after order verification. Payment is only considered final upon receipt of funds.<\/p>\n  <p>The Seller may request a deposit or cash payment, reduce or withdraw a payment period, suspend deliveries or refuse a new order in the event of delay, non-payment, deterioration of solvency or exceeding of credit limits.<\/p>\n  <h2>9. Late or non-payment<\/h2>\n  <p>Any sum not paid by its due date shall automatically and without prior notice incur penalties calculated at the rate applied by the European Central Bank to its most recent refinancing operation, plus 10 percentage points, but not to be less than three times the legal interest rate.<\/p>\n  <p>A fixed fee of \u20ac40 for recovery costs is also automatically due for each invoice paid late. If the actual recovery costs exceed this amount, the Seller may claim additional compensation upon presentation of supporting documentation.<\/p>\n  <p>In the event of persistent non-payment after formal notice, the Seller may demand immediate payment of all sums due or to become due, suspend pending orders and terminate the sale, without prejudice to its other rights.<\/p>\n  <h2>10. VAT, intra-Community supplies and exports<\/h2>\n  <p>Sales delivered in France are subject to French VAT at the applicable rate. For intra-Community deliveries, exemption can only be applied if the Customer provides, before invoicing, a valid VAT number issued by another Member State and if the products are actually shipped from France to another Member State. The Seller may verify this number in the VIES system and request any necessary supporting documentation.<\/p>\n  <p>If the conditions for exemption are not met or substantiated, French VAT is charged. For exports outside the European Union, VAT exemption is conditional upon proof of the goods&#039; actual departure from the territory of the European Union.<\/p>\n  <p>\u00a0The Customer is responsible for all customs duties, import taxes, clearance fees, and local obligations applicable in the destination country. The Customer will reimburse the Seller for any taxes, penalties, or expenses resulting from inaccurate tax information or missing documentation attributable to the Customer.<\/p>\n  <h2>11. Delivery, shipping costs and free shipping<\/h2>\n  <p>The countries, zones, and delivery methods available are those offered on the portal. Shipping costs are calculated according to the applicable rate for the order, unless otherwise specified in a quote.<\/p>\n  <ul>\n    <li>France: Free shipping on orders of goods over \u20ac500 excluding VAT.<\/li>\n    <li>Switzerland: free shipping from \u20ac1,000 excluding VAT of goods.<\/li>\n    <li>Other destinations: no free shipping.<\/li>\n  <\/ul>\n  <p>The minimum order value is calculated on the net price of the products before discounts, excluding delivery charges. Special, urgent, or oversized orders may incur an additional charge, which will be announced before shipment.<\/p>\n  <p>Subject to availability, the Seller aims to ship within 48 business hours of order acceptance and, when prepayment is required, within 48 business hours of receipt of payment. This timeframe does not apply to personalized, pre-ordered, in-production, or temporarily unavailable products. It is an estimated delivery time; the actual date or period will be provided during order processing.<\/p>\n  <p>Partial delivery may be offered in the event of unavailability. This will not incur additional charges without the Client&#039;s agreement. In the event of a significant delay, the Client may request delivery within a reasonable additional timeframe and, failing that, request cancellation of the undelivered portion.<\/p>\n  <h2>12. Acceptance, damage and apparent non-conformities<\/h2>\n  <p>Upon receipt, the Customer must immediately check the number of packages, their external condition, references, and quantities. In the event of loss or damage during transport, they must note specific and justified reservations on the carrier&#039;s document and complete the formalities required by applicable regulations.<\/p>\n  <p>For domestic transport within France, substantiated protests must be notified to the carrier within three days, excluding public holidays, of receipt, by extrajudicial act or registered letter, in accordance with Article L. 133-3 of the French Commercial Code. For international transport, the time limits and procedures of the applicable convention or regulation prevail.<\/p>\n  <p>The Customer must also inform the Seller as soon as possible, ideally within five business days, by providing the order number, photographs, and a detailed description. This timeframe facilitates processing and does not diminish the Customer&#039;s statutory rights.<\/p>\n  <h2>13. Transfer of risk and retention of title<\/h2>\n  <p>The risks of loss or damage are transferred to the Customer upon physical delivery of the products to the Customer or their designated recipient.<\/p>\n  <p>The seller retains ownership of the products until full payment of the price, including principal, fees, and any related charges. Until full payment is received, the customer must keep the products in a clearly identifiable location, not pledge them, and insure them for their full value. The customer may resell them in the ordinary course of business but must immediately inform the seller of any seizure, insolvency proceedings, or third-party claim that may affect them.<\/p>\n  <h2>14. Returns and the absence of a right of withdrawal<\/h2>\n  <p>As the purchases are made for the needs of the Client&#039;s professional resale activity, no general right of withdrawal applies.<\/p>\n  <p>No returns are accepted without prior written authorization from the Seller, specifying the return address, timeframe, and return method. Unless the return is due to an error by the Seller, a confirmed defect, or otherwise agreed upon, the costs and risks of return shipping are borne by the Customer. Products must be complete, unworn, unused, unaltered, and in their original packaging. Personalized or custom-made products are not returnable, except in the case of a defect or non-conformity attributable to the Seller.<\/p>\n  <h2>15. Guarantees and after-sales service<\/h2>\n  <p>The Customer benefits from the legal guarantee against hidden defects as provided for in Articles 1641 et seq. of the Civil Code. Legal action must be initiated within two years of the discovery of the defect, in accordance with Article 1648 of the Civil Code.<\/p>\n  <p>Any commercial warranties specific to a brand or product, as well as the conditions for repair, exchange, or support, are detailed on the product sheet, warranty document, or applicable commercial agreement. These warranties are in addition to, but do not limit, the legal warranty.<\/p>\n  <p>The warranty does not cover normal wear and tear, misuse, failure to follow maintenance instructions, shocks, oxidation due to improper use or storage, modifications or repairs by a third party, or variations inherent in materials and handcrafted manufacturing that do not alter the expected use.<\/p>\n  <p>All after-sales service requests must include the product reference, order number, alleged defect, and relevant photographs. After review, the Seller will indicate the appropriate solution: maintenance advice, repair, replacement, credit note, or refund, depending on the nature of the problem and applicable laws.<\/p>\n  <h2>16. Responsibility<\/h2>\n  <p>Each party is liable for direct and foreseeable damages resulting from its proven breaches. The Seller is not liable for indirect damages such as loss of revenue, loss of profit margin, loss of customers, damage to reputation, or loss of data.<\/p>\n  <p>To the extent permitted by law, the Seller&#039;s total liability for an order is limited to the pre-tax amount paid or payable for the directly concerned products. This limitation does not apply in cases of fraud, gross negligence, personal injury, infringement of intellectual property rights attributable to the Seller, or where prohibited by mandatory law.<\/p>\n  <p>The Client is responsible for the presentation and resale of the products to its own customers, for retaining the information and warnings provided, and for complying with the rules applicable to its point of sale and in its country.<\/p>\n  <h2>17. Force majeure<\/h2>\n  <p>Neither party shall be liable for any failure to perform its obligations if prevented by a force majeure event as defined in Article 1218 of the French Civil Code. The party prevented from performing shall inform the other party as soon as possible. Performance shall be suspended during the period of temporary impediment; if the impediment becomes permanent, the order in question may be terminated in accordance with applicable law, with reimbursement of any payments already made for services not yet performed.<\/p>\n  <h2>18. Intellectual Property and Brand Content<\/h2>\n  <p>The trademarks, logos, photographs, texts, designs, models, packaging, catalogs, and other content of the LMD Group remain the property of their respective owners. No rights are transferred to the Customer solely by virtue of the sale.<\/p>\n  <p>The Client may use the official content made available to them solely to present and promote the authentic products they sell, for the duration of the business relationship, without misleadingly altering the content or damaging the brand image. Any other use, reproduction, sublicense, or creation of substantially modified materials requires written authorization.<\/p>\n  <h2>19. Personal data<\/h2>\n  <p>LES MOTS DOUX processes the data of the Client&#039;s representatives and contacts to manage accounts, orders, deliveries, payments, invoices, business relationships, legal obligations and, where permitted, business communications. The necessary data may be transmitted to service providers involved in hosting, payment, business management, invoicing, shipping and support.<\/p>\n  <p>Data subjects may exercise their rights of access, rectification, erasure, restriction of processing, and objection, in accordance with legal requirements, by writing to hello@groupelmd.fr. They may also contact the CNIL (French Data Protection Authority). Further information is available in the privacy policy accessible on the Website.<\/p>\n  <h2>20. Evidence, communications and electronic signature<\/h2>\n  <p>Electronic portal records, emails, confirmations, technical logs, proof of payment, and billing documents are admissible as evidence. The Client agrees to receive contractual information, invoices, pro forma invoices, and notifications electronically at the email address provided in their account.<\/p>\n  <p>Order confirmation after accessing the Terms and Conditions and checking the acceptance box constitutes the Customer&#039;s consent. The applicable version of the Terms and Conditions is the one accepted at the time of ordering and can be saved by the Customer.<\/p>\n  <h2>21. Suspension and Resolution<\/h2>\n  <p>In the event of serious or repeated breaches by the Customer, including but not limited to non-payment, fraud, trademark infringement, resale of counterfeit goods, portal misuse, or the provision of inaccurate information, the Seller may suspend the account or deliveries. Except in cases of emergency or irremediable breach, termination of an order or the relationship will occur after a formal notice to remedy the breach has been issued and remains unheeded for a reasonable period.<\/p>\n  <p>The end of the relationship does not affect the amounts owed, the obligations of confidentiality, intellectual property, liability, retention of title and dispute resolution which are intended to survive.<\/p>\n  <h2>22. Modification and Divisibility<\/h2>\n  <p>The Seller may modify these Terms and Conditions for future orders. The new version will be published on the Website with its date. An order already accepted remains subject to the version accepted by the Customer, unless otherwise agreed in writing or modified by law.<\/p>\n  <p>If any clause is declared null and void or unenforceable, the other clauses remain in effect. Failure to exercise a right immediately does not constitute a waiver.<\/p>\n  <h2>23. Applicable Law and Disputes<\/h2>\n  <p>The General Terms and Conditions of Sale and the sales they govern are subject to French law, excluding its conflict of laws rules and, where its exclusion is permitted, the United Nations Convention on Contracts for the International Sale of Goods.<\/p>\n  <p>In case of difficulty, the parties will first seek an amicable solution. The Client should send their complaint to hello@groupelmd.fr, indicating the order and the relevant facts.<\/p>\n  <p class=\"jurisdiction\">Where permitted by law and both parties have entered into the contract in their capacity as merchants, any dispute relating to the formation, interpretation, performance, or termination of the contract falls under the exclusive jurisdiction of the Commercial Court of Besan\u00e7on, including in cases involving multiple defendants or third-party claims.
